Any professional services, deliverables, or engagements are governed exclusively by a separate Master Services Agreement ("MSA") and one or more accompanying Statements of Work ("SOW") executed between you and eeko Systems LLC.
In the event of any conflict between these Terms and a fully executed MSA or SOW, the terms of the MSA and SOW will control with respect to the services described in those documents. Information presented on the Site, including descriptions of methodology, timelines, and outcomes, is illustrative and does not form part of any contractual commitment unless expressly incorporated into a signed agreement.
The Site and all of its contents — including text, graphics, logos, design, layout, code, and the selection and arrangement thereof — are the property of eeko Systems LLC or its licensors and are protected by United States and international intellectual property laws.
Except as expressly permitted in these Terms, you may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any of the materials on the Site without our prior written consent. The "eeko systems" name, logo, and related marks are trademarks of eeko Systems LLC. Nothing in these Terms grants you any right or license to use them.
From time to time, communications between you and eeko Systems — including briefing requests, scoping discussions, and information you submit through the Site — may include confidential or proprietary information. We treat non-public information you share with us as confidential and will not disclose it except as necessary to respond to your inquiry, deliver requested services, or as required by law.
Confidentiality obligations relating to a specific engagement are governed by the mutual confidentiality provisions of the applicable MSA. These Terms do not supersede or limit any separately executed non-disclosure or confidentiality agreement.
The Site and all information, content, and materials available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, eeko Systems disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that the Site will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Any information presented on the Site is for general guidance only and should not be relied upon as professional, legal, financial, or technical advice.
To the fullest extent permitted by applicable law, in no event will eeko Systems LLC, its members, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your access to or use of the Site, whether based in contract, tort, negligence, strict liability, or any other legal theory, even if advised of the possibility of such damages.
To the extent liability cannot be excluded, our aggregate liability arising from or related to your use of the Site is limited to one hundred U.S. dollars (USD $100). Liability arising from a contracted engagement is governed instead by the limitation-of-liability provisions of the applicable MSA.
These Terms and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles.
You agree that any action at law or in equity arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.
We may revise these Terms from time to time to reflect changes in our practices, our services, or applicable law. When we do, we will update the "Last updated" date at the top of this page. Material changes will take effect upon posting to the Site.
